1. Agreement Overview
These Terms of Service (“Terms”) govern all services provided by Tensegrity Labs (“Tensegrity Labs,” “we,” “us”).
By requesting, purchasing, or using any services, you agree to these Terms.
These Terms, together with any invoice or written agreement, constitute the entire agreement between you and Tensegrity Labs. If there is a conflict, the invoice governs service-specific details.
2. Services
Tensegrity Labs provides technical services including:
- Engineering services (consulting, design, development, prototyping)
- Technical support and troubleshooting
- Website hosting
- Cloud infrastructure and storage services
- Server management and maintenance
All services are provided on a best-effort basis unless explicitly stated otherwise.
3. Orders and Engagement
Services are initiated via:
- Direct communication (email, web form, or written request)
- Issuance of an invoice or proposal
An invoice constitutes acceptance of both the requested services and these Terms.
4. Service Categories
4.1 Web Hosting Services
Web hosting is provided as a shared service under infrastructure managed by Tensegrity Labs, typically using DreamHost or similar providers.
Basic (Self-Managed)
- Infrastructure only
- Client responsible for all maintenance, updates, and troubleshooting
- Support limited to access issues, DNS, SSL, and availability
Standard
- Includes Basic
- Limited platform-level assistance
- Excludes development, plugin/theme troubleshooting, and content updates
Managed
- Includes Standard
- May include updates, monitoring, and backup coordination (if specified in invoice)
Hosting accounts are controlled by Tensegrity Labs. Client access is limited (e.g., SSH/SFTP). Infrastructure may be modified or migrated as needed.
4.2 Cloud Hosting
Cloud services are provided as shared infrastructure.
- No guaranteed uptime or SLA unless explicitly stated
- No guaranteed backups
- Client is responsible for data, access control, and application integrity
We reserve the right to modify, limit, or suspend services to maintain system stability.
4.3 Object Storage Services (MinIO / S3-Compatible)
Object storage services are provided using S3-compatible platforms such as MinIO.
- Storage is provided on a best-effort basis
- No guarantees of durability, replication, or availability
Clients are responsible for:
- Data integrity and organization
- Independent backups
- Securing access credentials
We may enforce usage limits or restrict access if necessary.
4.4 Backup Services
Backup services may be offered as a managed service.
- Backup scope, frequency, and retention are defined in the invoice
- Backups are provided as a convenience, not a guaranteed recovery solution
Limitations:
- Backups may be incomplete, unavailable, or fail
- Restoration is not guaranteed
Clients remain responsible for:
- Verifying backups
- Testing restores
- Maintaining independent backups
Tensegrity Labs is not responsible for data loss.
4.5 Server Management
Server management includes administration of systems.
- Work is performed on a best-effort basis
- Client is responsible for backups and approving changes
We are not responsible for:
- Downtime resulting from requested changes
- Third-party software issues
4.6 Engineering and Technical Services
Includes consulting, development, and prototyping.
- Work is based on provided requirements
- Changes or unclear requirements may require additional billing
Client is responsible for:
- Providing accurate requirements
- Reviewing and validating deliverables
5. Support
Support is provided on a best-effort basis.
- General requests: typically same or next business day
- Emergencies (service outages): prioritized
Support is limited to the scope of the purchased service tier. Out-of-scope work may be billed separately.
6. Backups and Data Responsibility
Clients are responsible for maintaining their own backups unless explicitly included in their service.
Third-party or platform backups are not guaranteed.
Tensegrity Labs is not responsible for data loss.
7. Acceptable Use and Resource Usage
You agree not to:
- Use excessive system resources
- Host malicious or vulnerable systems
- Send spam or abusive traffic
- Interfere with shared infrastructure
We reserve the right to throttle, suspend, or terminate services as needed.
8. Third-Party Services
Services may depend on third-party providers.
We are not responsible for:
- Provider outages
- Changes in third-party services
- External service failures
9. Payment and Renewal
- Payment terms are defined in the invoice
- Services may be recurring or one-time
- Non-payment may result in suspension or termination
Invoices are due upon receipt unless otherwise stated.
10. Suspension and Termination
We may suspend or terminate services if:
- Payment is not received
- Terms are violated
- Services pose risk to systems or other clients
Clients are responsible for retrieving data prior to termination.
11. Modifications to Services
We may modify infrastructure, providers, or service configurations as needed for reliability, security, or performance.
12. Intellectual Property
Clients retain ownership of their content and deliverables unless otherwise agreed.
Tensegrity Labs retains ownership of internal tools, systems, and processes.
13. Disclaimer of Warranties
All services are provided “as-is” without warranties of any kind.
14. Limitation of Liability
To the maximum extent permitted by law, Tensegrity Labs shall not be liable for any indirect, incidental, or consequential damages, including loss of data, revenue, or business.
Total liability shall not exceed the amount paid for services in the preceding twelve (12) months.
15. Indemnification
You agree to indemnify and hold harmless Tensegrity Labs from any claims arising from your use of the services or violation of these Terms.
16. Governing Law
These Terms are governed by the laws of the State of Colorado, United States.
17. Changes to Terms
We may update these Terms at any time. Continued use of services constitutes acceptance of the updated Terms.
